Escalators into the light

Due Diligence

The Why: Metis Partners' commercial due diligence service aims to bridge the gap between financial and legal due diligence. If you are considering investing in a company or making an acquisition, you need to understand the nuts and bolts of the operations of the target company in which you are ultimately investing or acquiring. We can help you to quickly get to grips with a target company's strategy, its business model, and the key IP that support its day-to-day operations.

The What: Our comprehensive internal review provides in-depth insight into, analysis of and the value in:

  • the target company's structure
  • its key processes incl. sales, a/c mgt & customer engagement
  • how they manage partnerships and key relationships
  • organisational knowledge and know-how
  • the management of intellectual property
  • corporate brand and culture
  • the key people in the organisation

We undertake external analysis, carrying out interviews with key customers and suppliers, extending the scope of primary research beyond company management.  Supported by secondary research on critical markets, sector dynamics and key competitors, you can receive the benefit of a full analysis of business operations. We can also incorporate an assessment of the company and its business model within its defined markets, benchmarked against competitors and other companies.

The Benefits: The final detailed commercial due diligence report will highlight the key business issues that investors or corporate acquirers need to understand and will have to address to preserve future value. Crucially, our report can also help to inform the valuation process and negotiation of a reduction in the price of the acquisition.

Partners: Previously, Metis Partners has partnered with a range of specialist providers, including IP lawyers, patent agents and technical diligence experts, to ensure that clients get the best value from the diligence exercise.

What our Clients say:

"Metis Partners responded quickly and their Due Diligence snapshot report and analysis provided me with a real insight into critical operational aspects of the target company and its strengths and weaknesses. It helped me gain a greater understanding of the value in the business, what was working and not working and gave me a clearer idea of what needed to be fixed post acquisition. It also acted as a useful tool in the negotiations with management/ shareholders of the target company and supported my successful negotiation of the final deal price."
